Orders<\/h4><p data-start=\"3377\" data-end=\"3470\">An order is only binding once it has been accepted and confirmed by Interlabel NV in writing.<\/p><p data-start=\"3472\" data-end=\"3584\">The customer is responsible for providing all information required for production, including but not limited to:<\/p><ul data-start=\"3586\" data-end=\"3782\"><li data-section-id=\"wy208e\" data-start=\"3586\" data-end=\"3595\">artwork<\/li><li data-section-id=\"1wyxoj9\" data-start=\"3596\" data-end=\"3622\">technical specifications<\/li><li data-section-id=\"282ip9\" data-start=\"3623\" data-end=\"3641\">label dimensions<\/li><li data-section-id=\"1elgsxb\" data-start=\"3642\" data-end=\"3665\">material requirements<\/li><li data-section-id=\"sscn94\" data-start=\"3666\" data-end=\"3685\">colour references<\/li><li data-section-id=\"19ufrzh\" data-start=\"3686\" data-end=\"3702\">legal markings<\/li><li data-section-id=\"9h6ery\" data-start=\"3703\" data-end=\"3726\">barcodes or EAN codes<\/li><li data-section-id=\"1v5hkph\" data-start=\"3727\" data-end=\"3739\">quantities<\/li><li data-section-id=\"17tned2\" data-start=\"3740\" data-end=\"3758\">delivery details<\/li><li data-section-id=\"mzxdz8\" data-start=\"3759\" data-end=\"3782\">approval instructions<\/li><\/ul><p data-start=\"3784\" data-end=\"3882\">Delays caused by incomplete, late or incorrect information are the responsibility of the customer.<\/p><h4 data-section-id=\"1qeborz\" data-start=\"3884\" data-end=\"3916\">8. Customer files and artwork<\/h4><p data-start=\"3918\" data-end=\"3995\">The customer is responsible for supplying correct, complete and usable files.<\/p><p data-start=\"3997\" data-end=\"4235\">Interlabel NV may provide technical guidance, prepress checks or file preparation support. However, unless explicitly agreed otherwise in writing, the customer remains responsible for the content and correctness of all supplied materials.<\/p><p data-start=\"4237\" data-end=\"4274\">This includes, but is not limited to:<\/p><ul data-start=\"4276\" data-end=\"4480\"><li data-section-id=\"e2sf08\" data-start=\"4276\" data-end=\"4295\">spelling and text<\/li><li data-section-id=\"1brnjm7\" data-start=\"4296\" data-end=\"4317\">product information<\/li><li data-section-id=\"1yofb6l\" data-start=\"4318\" data-end=\"4336\">legal statements<\/li><li data-section-id=\"a33ch0\" data-start=\"4337\" data-end=\"4376\">nutritional or regulatory information<\/li><li data-section-id=\"1bg19rf\" data-start=\"4377\" data-end=\"4389\">dimensions<\/li><li data-section-id=\"1wjker\" data-start=\"4390\" data-end=\"4399\">colours<\/li><li data-section-id=\"5rt320\" data-start=\"4400\" data-end=\"4424\">barcodes and EAN codes<\/li><li data-section-id=\"1xm9shq\" data-start=\"4425\" data-end=\"4441\">brand elements<\/li><li data-section-id=\"18cbf0v\" data-start=\"4442\" data-end=\"4460\">images and logos<\/li><li data-section-id=\"1vkf29f\" data-start=\"4461\" data-end=\"4480\">language versions<\/li><\/ul><p data-start=\"4482\" data-end=\"4626\">Interlabel NV may refuse, delay or request correction of files that are incomplete, technically unsuitable or likely to cause production issues.<\/p><h4 data-section-id=\"12qvnei\" data-start=\"4628\" data-end=\"4654\">9. Proofs and approvals<\/h4><p data-start=\"4656\" data-end=\"4805\">When a digital proof, technical proof, printed proof or file approval is requested or provided, the customer must check it carefully before approval.<\/p><p data-start=\"4807\" data-end=\"4883\">The customer must verify all relevant details, including but not limited to:<\/p><ul data-start=\"4885\" data-end=\"5036\"><li data-section-id=\"crwqjc\" data-start=\"4885\" data-end=\"4904\">text and spelling<\/li><li data-section-id=\"1bg19rf\" data-start=\"4905\" data-end=\"4917\">dimensions<\/li><li data-section-id=\"1wjker\" data-start=\"4918\" data-end=\"4927\">colours<\/li><li data-section-id=\"5rt320\" data-start=\"4928\" data-end=\"4952\">barcodes and EAN codes<\/li><li data-section-id=\"1c198zd\" data-start=\"4953\" data-end=\"4972\">technical details<\/li><li data-section-id=\"19ufrzh\" data-start=\"4973\" data-end=\"4989\">legal markings<\/li><li data-section-id=\"15sktte\" data-start=\"4990\" data-end=\"4998\">layout<\/li><li data-section-id=\"1yul6de\" data-start=\"4999\" data-end=\"5016\">version numbers<\/li><li data-section-id=\"1vkf29f\" data-start=\"5017\" data-end=\"5036\">language versions<\/li><\/ul><p data-start=\"5038\" data-end=\"5065\">Production may be based on:<\/p><ul data-start=\"5067\" data-end=\"5208\"><li data-section-id=\"1gk3vk5\" data-start=\"5067\" data-end=\"5094\">the latest approved proof<\/li><li data-section-id=\"1npefdz\" data-start=\"5095\" data-end=\"5121\">the latest approved file<\/li><li data-section-id=\"c15gbw\" data-start=\"5122\" data-end=\"5208\">or, where agreed, a previously approved printed version if no changes have been made<\/li><\/ul><p data-start=\"5210\" data-end=\"5364\">Once approval has been given, Interlabel NV is not liable for errors that were visible or could reasonably have been detected during the approval process.<\/p><h4 data-section-id=\"1e836ij\" data-start=\"5366\" data-end=\"5408\">10. Prepress and production preparation<\/h4><p data-start=\"5410\" data-end=\"5505\">Interlabel NV may prepare, adapt or optimise files for production through its prepress process.<\/p><p data-start=\"5507\" data-end=\"5524\">This may include:<\/p><ul data-start=\"5526\" data-end=\"5745\"><li data-section-id=\"1efq1u2\" data-start=\"5526\" data-end=\"5553\">checking supplied artwork<\/li><li data-section-id=\"25pphq\" data-start=\"5554\" data-end=\"5583\">preparing print-ready files<\/li><li data-section-id=\"1kp3wm1\" data-start=\"5584\" data-end=\"5604\">colour preparation<\/li><li data-section-id=\"18nhv96\" data-start=\"5605\" data-end=\"5627\">technical file setup<\/li><li data-section-id=\"1cxwb5k\" data-start=\"5628\" data-end=\"5657\">engraving or printing files<\/li><li data-section-id=\"2hryv1\" data-start=\"5658\" data-end=\"5677\">plate preparation<\/li><li data-section-id=\"lm1x3r\" data-start=\"5678\" data-end=\"5711\">barcode or EAN code preparation<\/li><li data-section-id=\"1uumxcq\" data-start=\"5712\" data-end=\"5745\">production-specific adjustments<\/li><\/ul><p data-start=\"5747\" data-end=\"6031\">Any internal production files, technical setups, engraving files, printing files, plates, colour curves, workflows, methods, know-how and process-related materials created or adapted by Interlabel NV remain the property of Interlabel NV, unless explicitly agreed otherwise in writing.<\/p><h4 data-section-id=\"jdfvyq\" data-start=\"6033\" data-end=\"6072\">11. Colours and technical tolerances<\/h4><p data-start=\"6074\" data-end=\"6149\">Interlabel NV takes care to achieve consistent, high-quality print results.<\/p><p data-start=\"6151\" data-end=\"6269\">However, the customer acknowledges that colour reproduction and final appearance may be influenced by factors such as:<\/p><ul data-start=\"6271\" data-end=\"6476\"><li data-section-id=\"14dktk6\" data-start=\"6271\" data-end=\"6283\">paper type<\/li><li data-section-id=\"1i4iq0s\" data-start=\"6284\" data-end=\"6294\">ink type<\/li><li data-section-id=\"1eltgm3\" data-start=\"6295\" data-end=\"6303\">finish<\/li><li data-section-id=\"1taesx\" data-start=\"6304\" data-end=\"6313\">coating<\/li><li data-section-id=\"1kuz42c\" data-start=\"6314\" data-end=\"6333\">production method<\/li><li data-section-id=\"kh8apr\" data-start=\"6334\" data-end=\"6350\">material batch<\/li><li data-section-id=\"1lkl8bi\" data-start=\"6351\" data-end=\"6369\">drying behaviour<\/li><li data-section-id=\"1hfwl7a\" data-start=\"6370\" data-end=\"6391\">lighting conditions<\/li><li data-section-id=\"1i2d1tm\" data-start=\"6392\" data-end=\"6420\">screen display differences<\/li><li data-section-id=\"a7t5lq\" data-start=\"6421\" data-end=\"6476\">technical tolerances inherent to the printing process<\/li><\/ul><p data-start=\"6478\" data-end=\"6545\">Digital previews or screen views are not binding colour references.<\/p><p data-start=\"6547\" data-end=\"6716\">Where colour accuracy is critical, written colour references, Pantone specifications, approved printed samples or other agreed references must be provided and confirmed.<\/p><p data-start=\"6718\" data-end=\"6862\">Reasonable production tolerances in colour, cutting, finishing, quantity and material behaviour are accepted unless otherwise agreed in writing.<\/p><h4 data-section-id=\"13r0k6w\" data-start=\"6864\" data-end=\"6893\">12. Barcodes and EAN codes<\/h4><p data-start=\"6895\" data-end=\"7026\">Interlabel NV may recreate, prepare or technically adjust EAN codes and barcodes to improve readability and production suitability.<\/p><p data-start=\"7028\" data-end=\"7187\">However, unless explicitly agreed otherwise in writing, the customer remains responsible for providing correct barcode numbers, product codes and related data.<\/p><p data-start=\"7189\" data-end=\"7269\">The customer must approve barcode placement, size and content before production.<\/p><h4 data-section-id=\"2tbesl\" data-start=\"7271\" data-end=\"7314\">13. Materials, papers, inks and finishes<\/h4><p data-start=\"7316\" data-end=\"7496\">The suitability of a material, paper, ink, coating, finish or technical solution depends on the product, packaging, production line, storage conditions and application environment.<\/p><p data-start=\"7498\" data-end=\"7631\">Interlabel NV may provide advice based on its expertise, but the final choice of material or finish must be agreed before production.<\/p><p data-start=\"7633\" data-end=\"7782\">Availability of specific materials, papers, inks or finishes may depend on supplier conditions, stock, technical feasibility and production planning.<\/p><h4 data-section-id=\"1pqaugi\" data-start=\"7784\" data-end=\"7799\">14. Delivery<\/h4><p data-start=\"7801\" data-end=\"7881\">Delivery times are indicative unless explicitly confirmed as binding in writing.<\/p><p data-start=\"7883\" data-end=\"7996\">Interlabel NV will make reasonable efforts to meet agreed delivery times, but is not liable for delays caused by:<\/p><ul data-start=\"7998\" data-end=\"8209\"><li data-section-id=\"98x0vj\" data-start=\"7998\" data-end=\"8039\">incomplete or late customer information<\/li><li data-section-id=\"15k91eo\" data-start=\"8040\" data-end=\"8056\">late approvals<\/li><li data-section-id=\"lr1tqj\" data-start=\"8057\" data-end=\"8075\">file corrections<\/li><li data-section-id=\"y7jap7\" data-start=\"8076\" data-end=\"8111\">changes requested by the customer<\/li><li data-section-id=\"1x8etoa\" data-start=\"8112\" data-end=\"8129\">supplier delays<\/li><li data-section-id=\"16mrcgx\" data-start=\"8130\" data-end=\"8148\">transport issues<\/li><li data-section-id=\"haphzo\" data-start=\"8149\" data-end=\"8164\">force majeure<\/li><li data-section-id=\"x2gw9v\" data-start=\"8165\" data-end=\"8209\">technical issues beyond reasonable control<\/li><\/ul><p data-start=\"8211\" data-end=\"8270\">Partial deliveries may be made where appropriate or agreed.<\/p><h4 data-section-id=\"1py74wi\" data-start=\"8272\" data-end=\"8289\">15. Quantities<\/h4><p data-start=\"8291\" data-end=\"8396\">The customer acknowledges that production quantities in printing may be subject to reasonable tolerances.<\/p><p data-start=\"8398\" data-end=\"8548\">Unless otherwise agreed in writing, overproduction or underproduction within a reasonable industry tolerance may be accepted and invoiced accordingly.<\/p><p data-start=\"8550\" data-end=\"8632\">Specific quantity requirements must be agreed in advance and confirmed in writing.<\/p><h4 data-section-id=\"fb2q3n\" data-start=\"8634\" data-end=\"8659\">16. Prices and payment<\/h4><p data-start=\"8661\" data-end=\"8740\">Prices are stated in the applicable quotation, order confirmation or agreement.<\/p><p data-start=\"8742\" data-end=\"8867\">Unless otherwise stated, prices are exclusive of VAT, taxes, transport, packaging, customs duties and other additional costs.<\/p><p data-start=\"8869\" data-end=\"8984\">Payment terms will be defined in the relevant quotation, order confirmation, invoice or separate written agreement.<\/p><p data-start=\"8986\" data-end=\"9084\">Unless otherwise stated in writing, invoices are payable within <strong data-start=\"9050\" data-end=\"9083\">30 days from the invoice date<\/strong>.<\/p><p data-start=\"9086\" data-end=\"9261\">In case of late payment, Interlabel NV reserves the right to charge interest, administrative costs and collection costs in accordance with applicable law and any agreed terms.<\/p><p data-start=\"9263\" data-end=\"9359\">Interlabel NV may suspend further deliveries, production or services in case of overdue payment.<\/p><h4 data-section-id=\"tpk7ps\" data-start=\"9361\" data-end=\"9386\">17. Retention of title<\/h4><p data-start=\"9388\" data-end=\"9539\">Unless otherwise agreed in writing, delivered goods remain the property of Interlabel NV until all amounts owed by the customer have been paid in full.<\/p><p data-start=\"9541\" data-end=\"9659\">The customer may not resell, pledge, transfer or dispose of unpaid goods in a way that affects Interlabel NV\u2019s rights.<\/p><h4 data-section-id=\"19kpl7i\" data-start=\"9661\" data-end=\"9678\">18. Complaints<\/h4><p data-start=\"9680\" data-end=\"9747\">The customer must inspect delivered goods immediately upon receipt.<\/p><p data-start=\"9749\" data-end=\"9920\">Any visible defect, delivery issue or non-conformity must be reported to Interlabel NV in writing as soon as possible and no later than <strong data-start=\"9885\" data-end=\"9919\">8 calendar days after delivery<\/strong>.<\/p><p data-start=\"9922\" data-end=\"10001\">Hidden defects must be reported in writing as soon as possible after discovery.<\/p><p data-start=\"10003\" data-end=\"10172\">Complaints must include a clear description of the issue and, where relevant, supporting evidence such as photographs, samples, batch references or delivery information.<\/p><p data-start=\"10174\" data-end=\"10284\">Submitting a complaint does not suspend the customer\u2019s payment obligations unless agreed otherwise in writing.<\/p><h4 data-section-id=\"1x44tj8\" data-start=\"10286\" data-end=\"10302\">19. Intellectual property<\/h4><p data-start=\"11398\" data-end=\"11657\">All intellectual property rights relating to Interlabel NV\u2019s know-how, methods, workflows, technical files, production files, printing files, engraving files, plates, colour curves, templates and process-related materials remain the property of Interlabel NV.<\/p><p data-start=\"11659\" data-end=\"11792\">Customer-provided designs, trademarks, logos and brand assets remain the property of the customer or their respective rights holders.<\/p><p data-start=\"11794\" data-end=\"11886\">No transfer of intellectual property rights takes place unless explicitly agreed in writing.<\/p><h4 data-section-id=\"1ba3fz1\" data-start=\"11888\" data-end=\"11910\">22.
